1. Agreement to Terms

By accessing or using the services provided by ONYX, LLC ("ONYX," "we," "us," or "our"), including the ONYX engagement and all related deliverables, you agree to be bound by these Terms & Conditions. If you do not agree to these terms, you may not access or use our services.

2. Services

ONYX provides thought leadership system services, including but not limited to flagship whitepapers, brand intelligence files, LinkedIn post drafts, editorial calendars, and related strategic materials (collectively, the "Deliverables"). ONYX may also offer a free front-end whitepaper and 90-day content runway. All paid Deliverables are provided as part of a one-time engagement unless otherwise agreed upon in writing.

We reserve the right to modify, suspend, or discontinue any aspect of our services at any time without prior notice.

3. Payment & Delivery

Payment is due in full upon purchase of the ONYX engagement. Deliverables will be provided within the timeframe specified at the time of purchase, typically within 5-8 business days. Delivery timelines are estimates and may vary based on project complexity.

4. Intellectual Property

Upon full payment, ownership of the client-specific Deliverables transfers to you. This includes flagship assets, brand intelligence files, LinkedIn post drafts, editorial calendars, and other custom materials created for your engagement. ONYX retains the right to showcase anonymized versions of Deliverables in portfolios and case studies unless you opt out in writing. The ONYX brand, logo, and underlying methodologies, templates, and internal tools remain the exclusive property of ONYX, LLC.

5. Revisions

If you are not satisfied with any Deliverable, ONYX will work with you to revise the content until it meets your expectations. Revision requests must be submitted via email to hello@onyx100.com within 14 days of delivery.

6. Limitation of Liability

To the maximum extent permitted by law, ONYX shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, arising from your use of our services or Deliverables.

7. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Virginia, without regard to its conflict of law provisions. Any disputes arising under these terms shall be resolved in the courts of Virginia.
